Welcome to UkrLady.com, the service for adults to meet each other through the Internet. By using the UkrLady.com Website you agree to  follow these Terms of Use (this "Agreement"), whether or not you register as a member. If you wish to become a Member and to communicate with other Members and make use of the UkrLady.com service (the "Service"), read the Agreement and indicate your acceptance of its clauses in the appropriate form during the registration process. UkrLady.com (the “Website”) has the full right to amend or modify this Agreement from time to time, such changes to be effective on being posted at the UkrLady.com Website. This Agreement includes UkrLady.com's Acceptable Use Policy for Content Posted on the Website, UkrLady.com's Privacy Policy, and any notices regarding the Website.

General Provisions

1. Eligibility. You cannot have access to the Service or utilize it if you haven’t reached the age of 18 years, if you are a convicted sex offender, have a felony conviction or the equivalent in any jurisdiction or have been convicted of any crime of moral turpitude or are not an individual utilizing our Services solely for your own personal use and in good faith.

2. Term. This Agreement regulates the relationships between the Site and its Members. It keeps its full effect while you use the Website or possess the membership. You may terminate your membership at any time, for any reason by sending a request to terminate your account. This request is to be sent from the e-mail address you used by registration, or the one you later provided to UkrLady.com. UkrLady.com may terminate your membership for any reason, effective upon sending notice to you at the e-mail address you used by registration, or the one you later provided to UkrLady.com. Membership termination, caused by breaching the Agreement, gives you no right for reimbursement of the unused payments and fees. This Agreement is valid after the membership termination. Certain provisions of the agreement, like 4, 5, 8 – 12, remain operative after the Agreement termination.

3. Non Commercial Use by Members. The Service was created and is used only for obvious, legitimate business purposes. The personal use of the Service by the individual Members may not be used in connection with any commercial endeavors. The Service of the Website can be used only by individuals and in no case by legal persons. Members alone are responsible for maintaining the security of the account access information—i.e., username, password and account-access hints. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.

4. Proprietary Rights in Content on UkrLady.com. UkrLady.com owns and retains all proprietary rights in the Website and the Service. The Website contains the copyrighted material, trademarks, and other proprietary information of UkrLady.com, and its licensors. You may not copy, display, sell or otherwise attempt to benefit of help the third party to benefit from use of the information at the Website, except for that in the public domain or for which you have been given written permission.

5. Content Posted on the Site. UkrLady.com has the right to review and delete any messages, photos and profiles (collectively “Content”), that may violate the Agreement or might be offensive to the Members, illegal, harmful or threatening to the safety of the Members. You are solely responsible for the Content you post on the Website. By posting Content, you represent and warrant that you grant UkrLady.com the right to use, copy, perform and display this Content.
This is the partial list of the Content that is prohibited on the Website:

• Content, promoting racism, bigotry, hatred or physical harm of any kind;
• “junk mail”, “chain letters”, spamming;
• Promotion of illegal unauthorized copies of another person’s copyrighted work;
• Material of sexual or violent exploitation of people under 18 years of age, etc.

The use of the Service is to be done in consistence with the applicable laws and regulations. Any advertising or solicitation of any products or services purchase through the site is prohibited. You may not transmit any chain letters or junk email to other Members. Although UkrLady.com cannot monitor the conduct of its Members off the Website, different ways of using the information obtained from this Service can be classified as the rules violation, like harassing, abusing another person by means of the gained data, or exploiting this information in any way, which was not explicitly affirmed by the Member who originated it. In order to protect our Members from such advertising or solicitation, UkrLady.com reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which UkrLady.com deems appropriate in its sole discretion.

6. Copyright Policy. Any copyrighted material is defended by the international intellectual property laws, which prohibit copying, distribution, reproduction of it without written consent of the owner. If you believe that that you work has been copied and posted on the Website, please, provide our Copyright Agent with the following information: a signature of the person whose copyrighted property is allegedly misused; a clear description of the copyrighted property that you suppose being illegally used; explanation of where on the Website the material is located; your address, telephone number, and email address; your written declaration of the misuse of the work without the copyright’s owner or his legal representative’s  permission; your solemn assertion of the accuracy of the provided information and the evidence of your ownership right, or the authorization from the owner to speak on his behalf. 7. Member Disputes. Ukrlady reserves the right to monitor the disputes between the Members, but has no obligation to it. Interactions between members is their responsibility.

8. Privacy. Use of the Website and/or the Service is also governed by our Privacy Policy.

9. Disclaimers. UkrLady.com is not responsible for:

• incorrect or inaccurate content posted on the Website by the Members, or by the equipment or programming, utilized by the Website;
• online or offline conduct of any user or Member of the site;
• any problems of technical malfunction of the equipment, programming, Internet providers, involved in the operation of the Website and Service;
• any error, defect, delay, theft, destruction, etc. of user or Member communications;
• any loss or damage resulting from the use of Website and the Service, any Content transmitted through the Website, any interactions between the members, whether online or offline.

UkrLady.com cannot guarantee any specific results form the use of the Website and the Service.

10. Limitation on Liability. UkrLady.com is not liable to anyone for delay or failures to perform the obligations under this Agreement resulting form the events or causes beyond our reasonable control, including but not limited to hardware and software failures, other equipment failures, labor strikes, riots, fires, floods, storms, explosions, war, governmental actions, non-performance of the third parties. UkrLady.com is not liable for any direct or indirect damage of any kind even if UkrLady.com or the Member is aware of the possibility of this damage. Ukraldy.com is not liable for the Members trips, travel fees, taxes, rising from the foreign trips in concern with their activity at the Website. The maximum possible liability which a competent court makes UkrLady.com liable for, is $100.

 11. Disputes. Any disputes about or involving the Website or the Service are to be governed by the laws of Ukraine without regard to the country of origin of the claimant.

12. Indemnity. You agree to indemnify and hold UkrLady.com, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

13. Other. You accept this Agreement by using the Website and affirm it by becoming a Member of the Service. If any of the clauses of the Agreement becomes invalid, the Agreement still keeps its full force and effect.
